Xlio Commercial License Agreement
- Scope
This license is a legal agreement between you (hereinafter Licensee) and Codaxy d.o.o. (hereinafter the Licensor) for Xlio library (hereinafter Software) downloading or using.
Licensor reserve the right to change or modify the current document with no prior notice.
- Permitted Use
Licensor grants Licensee a non-exclusive and non-transferable right to use the Software on any number of projects. Licensee is entitled to customize and overwrite Software depending on needs.
- Restrictions
Licensee may not redistribute, sell, rent, lease, sub-license, or otherwise transfer rights to any third party. Other person rights granting is prohibited. Licensee must not remove copyright or other proprietary notices in Software.
- Termination
Without prejudice to any other rights, Licensor / Licensee may terminate this agreement if Licensee / Licensor breaches any of its terms and conditions. Upon termination, Licensee must destroy all copies of the Licensed Software held or controlled by Licensee.
- Indemnity
Licensee agree to indemnify and hold harmless Licensor for any third-party claims, actions, or any related expenses, damages arising out of Software use or agreement terms violation by Licensee side.
- Ownership
Software is a property of Licensor. Licensee may not claim intellectual or exclusive ownership rights to Software.
- Support
Technical support is available according to support services purchased along with Software.
- Updates
Licensee receives free Software updates for as long as Software is developed.
- Refund
Licensor offers refund on Software within 30 days of purchase for exceptional cases only:
- Agreement terms violation by Licensor;
- Any considerable reason that can be negotiated;
Refund may not be considered other way.
- Warranty Disclaimer
The Software is provided as is, without warranty of any kind, either expressed or implied. Licensor does not warrant that the Software or any related service will always be available.
- Limitation Of Liability
Licensee assumes all risk associated with the installation and use of the software. In no event shall the Licensor be liable for claims, damages or other liability arising from, out of, or in connection with Software.
